1. Introduction and Definition of Terms
1.1 Welcome to Careerspade Powered by RE:CHAIN! Careerspade is the newest web-based job platform where Japanese Business Enterprises are in need of potential career seekers. With Careerspade, Users have wide variety of career opportunities and top line clients offering huge flexibility in terms of your skills and time. Careerspade powered by RE:CHAIN, shall hereinafter be referred to as “Careerspade”.
1.2 Careerspade’s Services (“Service”, “Services”) shall refer to any services offered by Careerspade which include, but is not limited to, the contents posted on its Website.
1.3 The User (“User”) shall refer to any person who utilizes the services offered by Careerspade, either a person who seeks employment, employer who seeks candidates for employment or advertisers.
1.4 The “Website” shall refer to Careerspade’s Website with Website address at www.careerspade.com operated by Careerspade.
1.5 “Affiliates” shall refer to any person associated with Careerspade which includes, but is not limited to, its officers and directors, sister companies, employees, and agents.
1.6 “Order” shall refer to any Service purchased by the User from Careerspade.
1.7 The Terms of Service (“Terms”) shall govern the User’s use of Careerspade’s Website.
1.8 The Privacy Policy (“Privacy Policy”) shall govern how information is collected, safeguarded, retained, and disclosed from the User’s use of Careerspade’s Website.
1.9 The Terms and the Privacy Policy shall hereinafter be collectively referred to as “Agreements”.
2. Registration and Account Management
2.1 To register with Careerspade, the User must be at least eighteen (18) years of age or above.
The User warrants and represents that they are at least eighteen (18) years of age with full legal capacity to enter into an agreement with Careerspade.
2.2 With the creation of a Careerspade account, the User guarantees that the information provided is accurate, complete, and up-to-date at all time. Any information found to be inaccurate, incomplete, or obsolete may result to the immediate termination of the User’s account.
2.3 The User is responsible for the security and confidentiality of its account username and password.
2.4 The User shall be responsible for any and all activities done under its account.
2.5 Registration under the name of another person or entity, not lawfully available for use, name or trademark subject to any rights of another person or entity is prohibited.
Username that is offensive, vulgar, or obscene is likewise prohibited. Any account with username similar to what is above-stated may be terminated by Careerspade.
2.6 Careerspade must be immediately notified by the User of any breach of security or unauthorized use of the User’s account.
3. Payment and Refund
3.1 Prices charged are as shown on the Website at the time and date of purchase. However, prices are subject to change before the Order for subscription is placed.
Careerspade aims to display the most accurate and up-to date
price.
3.2 The User shall validate the price of the Order at the time it is made as part of Careerspade’s acceptance procedure.
3.3 Careerspade shall notify the User if there is a change in its Order and the User may cancel said Order.
3.4 Prices are shown in United States (US) Dollars on the Website which are inclusive of all taxes.
3.5 Payment must be made in full and received by Careerspade before the User’s Order is accepted. Payment is considered accepted only when Careerspade are in receipt of cleared funds.
3.6 Orders made through the Website must be paid via PayPal.
3.7 Payment by mail or fax shall not be accepted by Careerspade.
3.8 The User guarantees that all details provided for the purposes of payment of the Service are correct.
3.9 Careerspade, at its sole discretion, may refuse any Order placed by the User.
3.10 Careerspade shall allow refunds of the payments made by User only on the grounds herein provided:
- The User upgrades its account from “Pro” to “Premium” by accident;
- The User used the wrong card information to pay for its Order;
- Any payment made in double by the User.
The User must provide a new card information to pay for its Order before the amount is refunded to the wrong card.
Special circumstances may be investigated by Careerspade to determine if the User is eligible for a refund. The User may email Careerspade at info@careerspade.com with the Subject line: “Refund Request”.
4. Intellectual Property
4.1 Careerspade and its licensors is the exclusive owner of all Services and content, features, and functionality posted on the Website. Careerspade’s trademark cannot be used without prior written consent of Careerspade. Careerspade’s rights are protected by Intellectual Property Laws of the Philippines and any violation of its rights shall be prosecuted to the fullest extent of the law.
4.2 The content of the Service is the exclusive property of Careerspade. The User cannot distribute, modify, transmit, reuse, download, repost, copy, or use, whether whole or in part, for commercial or personal gain, without prior written consent from Careerspade.
4.3 Careerspade respects the Intellectual Property Rights of everyone. As such, Careerspade shall respond to any claim of copyright infringement or any violation of the Intellectual Property Laws in the Philippines.
4.4 Copyright owners, or its authorized representatives, who believe that its work has been infringed may submit its claim via email to info@careerspade.com with the Subject line: “Copyright Infringement” and include therein a detailed description of the alleged infringement.
4.5 Any person who misrepresents or claims infringement in bad faith may be held accountable for damages by Careerspade.
5. International Use
5.1 Careerspade makes no undertakings that materials on its Website are appropriate or available for use in the User’s location.
Careerspade likewise makes no warranty that the User may access the Services in territories where its contents are illegal or unlawful is prohibited.
6. Promotions
6.1 By using Careerspade’s Service, the User agrees to subscribe to newsletters, marketing, or promotional materials, and other information sent by Careerspade. The User may opt out of these messages by clicking the unsubscribe link or by emailing info@test.careerspade.com with the Subject line: “Cancel Newsletter”.
6.2 Contests and other promotions made by Careerspade may be governed by rules separate and distinct from the Terms. The User must review all applicable rules, including the Privacy Policy, before participating in the contest. Should the rules of the contest be in conflict with the provision of the Terms, the contest rules shall govern.
7. Use of Services
7.1 Careerspade grants the User a limited, terminable, nonexclusive right to access and use of the Services only for User’s personal use and/or employment purposes.
7.2 The Services may be used for employment purposes, either by individual who seeks employment, employers who seek candidates for employers, or advertisers.
7.3 The use of the Services is also subject to any other contracts the User may have with Careerspade. In the case of any conflict between these Terms and any of the said contract, the Terms hereof shall prevail.
8. Additional Terms for Employers
8.1 Careerspade hereby grants the User a limited, terminable, non-exclusive right to access and use Careerspade’s Website and Services for the User’s internal business use seeking candidates for employment.
8.2 The User is given the authority to view and download a single copy of Careerspade’s materials found on its Website solely for the use directly related to searching for and recruiting candidates for employment.
8.3 The User is responsible for maintaining the confidentiality of its employer account, company profiles and passwords, as applicable. Careerspade shall not be liable to any access made by third persons against the will of the User.
8.4 It is the responsibility of the User to immediately notify Careerspade of any unauthorized use of User’s employer account, company profiles or passwords.
8.5 The User represents, warrants and covenants that all materials provided by it to Careerspade as well as information for use in connection with Services will not violate any laws or regulations or third-party proprietary rights.
8.6 The User likewise agree that it shall disregard any personal data received from the employment candidate which are irrelevant to obtaining and assessing the suitability of candidates.
8.7 Careerspade is not to be considered to be an employer with respect to the User’s use of any of Careerspade’s Services. Careerspade shall not be responsible for any employment decisions, for whatever reasons, made by any entity posting jobs on any of its Website.
8.8 Employer materials may not contain and use any information which are contrary to law, morals and public policy.
8.9 Careerspade reserves the right to remove any employer materials or content from any of its Website, which are in violation of this Terms. Careerspade likewise reserves the right to terminate the use of the Services in any case of misrepresentation committed by the User, in such event, any payment made by the User shall be forfeited in favor of Careerspade.
9. Prohibitions
9.1 The User agrees not to use the Service:
- In any way that violates national or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or anything similar thereto.
To transmit, or procure the sending of, any advertising or promotional material, including ay “junk mail, “chain letter”, “spam”, or any other similar solicitation.
To impersonate or attempt to impersonate Careerspade, Careerspade employee, another user, or any other person or entity.
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, harmful, or in connection with any unlawful purpose or activity.
To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of service, or which, as determined by Careerspade, may harm or offend Careerspade, its users, or expose them to liability.
In any manner that could disable, overburden, damage, or impair Service or interfere with other User’s use of Service, including its ability to engage in real time activities through Service.
The User cannot use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.
The User cannot use any manual process to monitor or copy any of the material on Service or any other unauthorized purpose with Careerspade’s prior written consent.
The User cannot use any device, software, or routine that interferes with the proper working of Service.
The User cannot introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
The User cannot attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server which Service is stored, or any server, computer, or database connected to Service.
The User cannot attack Service by a denial-of-service attack or a distributed denial-of-service attack.
The User cannot take any action that may damage or falsify Careerspade’s rating.
The User cannot otherwise attempt to interfere with the proper working of Service.
Violations of network security may result in civil and/or criminal liability.
10. Analytics
10.1 Careerspade may use third-party Service Providers to monitor and analyze the use of its Service.
11. Feedback
11.1 The User may provide Careerspade with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to Careerspade’s Service (“Feedback”). Such Feedback may be sent either directly at Info@test.careerspade.com or via third-party sites and tools.
11.2 The User acknowledges and agrees that:
The User shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback.
Careerspade may have development ideas similar to the Feedback given by the User.
- The Feedback does not contain confidential information or proprietary information, either from the User or a third party.
Careerspade is not under any obligation of confidentiality with respect to the Feedback.
11.3 In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, the User grants Careerspade and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose, Careerspade may deem proper.
12. Third Party Links or Services
12.1 Careerspade’s Website includes links to other websites, materials or services which are neither owned or controlled by Careerspade. Careerspade does not make any warranty and assumes no responsibility for the content, privacy policies, or practices of any third party links, websites or services.
12.2 Careerspade is not in any way liable directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party links or services.
13. Disclaimer
13.1 Careerspade makes no representations or warranties of any kind, express or implied, as to the operation of the Services, or the information, content or materials included therein.
13.2 The User expressly agrees that the use of these Services, is at the User’s sole risk.
13.3 Neither Careerspade or any of its Affiliates make any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Services. Careerspade and any of its Affiliates likewise do not warrant any items obtained through the Services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the server that makes it available are free of viruses or other harmful components or that the services or any services or items obtained through the services will otherwise meet the User’s needs or expectations.
13.4 Careerspade hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise except for warranties which cannot be excluded or limited under applicable law.
13.5 Careerpsade is not responsible for any damages arising from delays, delivery failures and other problems inherent in the use of the internet and electronic communication.
13.6 Careerspade shall not be liable for any loss of information howsoever caused as a result of any interruption, suspension or termination of the Services or for the content, accuracy or quality of information available or transmitted through the Services.
14. Hold Harmless Clause
14.1 Except as may be prohibited by applicable laws, the User agrees to defend, indemnify, and hold harmless Careerspade, and its
Affiliates, from and against any claims, extrajudicial or judicial action, legal and necessary fees and cost, resulting or arising from including but not limited to the following:
Any Content or other material the User provides to any Careerspade’s Website;
- User’s use of any Careerspade’s Services;
User’s breach of the Agreements.
14.2 Except as prohibited by law, if there is liability found on the part of Careerspade, it will be limited to the amount paid for the products and/or Services.
15. Termination
15.1 At Careerspade’s sole discretion, it may terminate or suspend User’s account and bar access to Service immediately for any reason and even without prior notice to the User and without incurring any liability. In addition, Careerspade further reserves the right to refuse service, remove or edit content, or cancel orders in its sole discretion.
15.2 The User may terminate its account by the non-use thereof.
15.3 The termination of the account and Services as herein provided shall be without prejudice to the surviving provisions of the Terms such as but not limited to ownership provisions, disclaimers and hold harmless clause.
16. Governing Law, Venue and Attorney’s Fees
16.1 These Terms shall be governed by and construed under the laws of the Philippines.
16.2 In the event of any court litigation regarding the Agreements, the court of Olongapo City, Zambales shall be the exclusive venue of action.
16.3 In the event that any action is filed in relation to the Agreements, and Careerspade is held not liable for the claims, the User shall pay Careerspade, in addition to all of the sums that User may be required to pay, Twenty percent (20%) of the recoverable sum as Attorney’s Fees.
17. Non-Waiver of Rights
17.1 The failure or delay of Careerspade to enforce any of the provisions herein, shall not impair any right, power or remedy related thereto, and shall not be construed as a general relinquishment or waiver of any other right, power or remedy under this Terms, and the same shall nevertheless be and remain in full force and effect.
18. Severability
18.1 If any of the provisions of this Terms shall be declared invalid, illegal or unenforceable by a competent court or agency, the remaining provisions contained herein shall not in any way be affected or impaired and shall remain in full force and effect.
19. Entire Agreement
19.1 This Terms comprise the entire and complete agreement between the Careerspade and User.
20. Changes to Service
20.1 Careerspade reserves the right to withdraw or amend the Service, and any service or material it provides via Service, in its sole discretion and even without notice to the User.
21. Amendments to Terms
21.1 Careerspade may amend the Terms at any time by posting the amended terms on its Website.
21.2 The User undertakes to review the Terms as part of its responsibility.
21.3 The User’s continued use of Careerspade’s Services following the posting of revised Terms means that the User accepts and agrees to the changes, and thus binding to it.
22. Acknowledgement
22.1 By using Careerspade’s Services, the User acknowledges that it has read this Terms and the Privacy Policy further agrees to be bound by the same.
